Agreement & Usage Terms

These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with the HellOOpass KYC mobile application and platform (the "Service") operated by BelCash R&D ("us", "we", or "our").

Please read these Terms and Conditions carefully before using our Service. If you do not agree with any part of these terms, you may not access the Service.

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

By using the Service, you represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction
• You have the legal capacity to enter into a binding agreement
• You are not barred from using the Service under any applicable law
• You are a resident of a country where the Service is legally available
• All information you provide is accurate, complete, and current

Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as needed to keep it accurate, current, and complete.

Account Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any biometric authentication methods. You accept full responsibility for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Account Termination

We reserve the right to suspend or terminate your account at any time, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, third parties, or us, or for any other reason at our sole discretion.

Identity Verification

The Service provides Know Your Customer (KYC) identity verification. You agree to provide accurate and authentic documentation and personal information for verification purposes. Fraudulent or misleading information may result in immediate account termination and legal action.

Use of Verified Data

Your verified identity data may be used for compliance with applicable anti-money laundering (AML) and counter-terrorism financing (CTF) regulations. Where required by law, your data may be shared with regulatory authorities and authorized government agencies.

Verification Decisions

We do not guarantee that your identity will be verified. Verification decisions are based on the information and documentation you provide and our verification procedures. We are not liable for any consequences arising from the failure to verify your identity.

Merchant and Supplier Registration

If you register as a merchant or supplier through the Service, you represent that you are a legitimate business entity operating in compliance with all applicable laws and regulations in your jurisdiction. You agree to maintain accurate and current business information.

POS Operator Obligations

POS operators must maintain accurate location information and comply with all applicable financial regulations. You are responsible for the accuracy of your business location data.

You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include, but are not limited to:

• Providing false, misleading, or fraudulent information
• Attempting to impersonate another person or entity
• Interfering with or disrupting the integrity or performance of the Service
• Attempting to gain unauthorized access to the Service or related systems
• Using the Service for money laundering, terrorist financing, or any other illegal activity
• Reverse engineering, decompiling, or disassembling the application
• Uploading malicious code, viruses, or any harmful material
• Using automated tools (bots, scrapers) to access or interact with the Service
• Circumventing any security features or access controls

The Service and its original content, features, and functionality are owned by BelCash R&D and are protected by Ethiopian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. Nothing in these Terms grants you any right, title, or interest in the Service or any of our intellectual property.

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

We implement appropriate technical and organizational measures to protect your personal data in accordance with applicable data protection laws, including the laws of any jurisdiction in which we operate.

The Service may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of these third parties. Your interaction with any third-party service is at your own risk.

We do not endorse any third-party services linked from our application. We strongly advise you to review the terms and privacy policies of any third-party services you use.

To the maximum extent permitted by applicable law, in no event shall BelCash R&D, its directors, employees, partners, agents, suppliers, or affiliates be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Service interruption, computer damage, or system failure
• Any unauthorized access to or use of our servers and/or personal data

Our total liability for any claims under these Terms shall not exceed the amount you have paid us, if any, for accessing the Service during the twelve months preceding the claim.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

You agree to indemnify, defend, and hold harmless BelCash R&D and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or information you submit to the Service

These Terms shall be governed and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, without regard to its conflict of law provisions.

For users operating in other jurisdictions, we comply with the applicable laws and regulations of each country where we operate. Where local law provides additional protections, those protections shall apply to the extent required by such law.

Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Addis Ababa, Ethiopia, unless otherwise required by applicable local law. You agree to submit to the personal jurisdiction of such courts.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to reflect the parties' intent, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BelCash R&D regarding your use of the Service, superseding any prior agreements or understandings.
